TERMS AND CONDITIONS OF BUSINESS
1. DEFINITION OF TERMS
In these Terms and Conditions of Business, when referred to, ‘the Goods’ means any products or items sold by Teal Europe Ltd to the Customer. ‘The Customer’ describes the company, individual or any other body agreeing to purchase Goods from the Company. ‘The Company’ refers to Teal Europe Ltd.
The minimum order value is £100. The bulk price applies to all items where the mix quantity per product range has been reached. All other items will be charged at the trade price.
Due to circumstances beyond their control such as fluctuation in currency exchange rates, the Company reserves the right to change prices without notice. Whenever possible the Company will honour quoted prices but there is the potential for change between the Customer order date and the date of delivery.
All prices quoted do not include value added tax (VAT) or any other taxes or duties. Please note that the rate of VAT is subject to change and therefore will be charged at the current rate at the time of invoicing.
3. CREDIT AND SETTLEMENT
The granting of any credit facility is made on the condition that all the goods are strictly paid for with 30 days of the invoice date, unless otherwise agreed between the Company and the Customer.
All overdue invoices will bear interest of 8% monthly (or maximum allowed by law) on unpaid balances. The Company reserves the right to change or withdraw any credit facilities granted to the Customer without notice.
Under no circumstances will goods be released to accounts where there is an outstanding, overdue balance. Amounts owed to the Customer from the Company may be offset against any amount owing to the Company.
The minimum order value for carriage paid within mainland UK is £350 excluding VAT. Orders below this will be charged at £9.95 a box.
Any agreed delivery dates with endeavoured to be adhered to but are not guaranteed. The Customer shall not be entitled to cancel an order based on failure to meet such delivery dates and no liability will be accepted for any loss suffered or caused through late delivery, non-delivery or partial delivery. The Company reserves the right to make delivery by instalments and tender a separate invoice in respect of each instalment.
In the case that the delivery of the goods is not in conformity with the order, the Customer will be required to give the company written notice within 7 days. Failure to do this will deem that the goods have been accepted as per the order and there will be no further recourse.
Written notification must be made to the Company within 14 days from the dispatch date shown on the invoice if a consignment fails to arrive. Any claims made outside the statutory period allowed cannot be accepted and the amount claimed will be due from the Customer. Goods delivered in accordance with an order may not be returned without prior written consent of the Company.
5. RETENTION AND OWNERSHIP
Until such a time as all the monies due for the Goods supplied have been in paid for in full, they remain the property of Teal Europe Limited. However, once delivery is made the risk in the Goods therein passes to the Customer.
6. RETURNS AND CANCELLATIONS
Order cancellations are only acceptable if received in writing and agreed by the Company. The Company reserves the right to invoice an amount equivalent to 50% of the value of the cancelled order. Under no circumstances does the Company operate a Sale or Return system and the Customer is reminded that there is no exchange facility.
In the case of restocking, a 20% handling charge will be applied to all items returned in good condition for credit unless they have been incorrectly supplied. The goods remain at the Customers risk until such a time as they have been received by the Company.
7. PRODUCT SPECIFICATION AND WARRANTY
The Company reserves the right to improve or change the published specifications of a product at any time. All products, unless otherwise stated, are covered by the Company’s warranty for 12 months from the date of invoice. Any products found to be faulty will be replaced free of charge.
